Contract Corporate Paralegal
Location:
Pay Range: $50–$53 per hour
Position Type: Contract, Onsite, Full-Time
LHH is partnering with a global entertainment company to find a detail-oriented and experienced Corporate Paralegal to join their legal team on a contract basis. This fully remote opportunity requires availability during Pacific Time business hours, as the legal team operates out of Burbank, CA. The ideal candidate will bring a strong foundation in corporate governance and entity management, with a focus on compliance, accuracy, and operational efficiency.
Responsibilities
Draft and revise corporate governance documents, including bylaws, operating agreements, and board/officer resolutions.
Manage and update corporate records across a large portfolio of domestic legal entities.
Maintain and audit data in entity management platforms and registered agent systems.
Coordinate and file state and local documentation for entity formations, qualifications, dissolutions, name changes, and mergers.
Respond to internal requests for corporate documentation and entity information.
Maintain electronic minute books and ensure accurate recordkeeping.
Identify and retrieve missing corporate documents from Secretary of State offices.
Support electronic document execution workflows.
Research and recommend improvements to governance processes and documentation standards.
Qualifications
Minimum of 3 years of experience as a corporate paralegal, preferably in a high-volume legal entity environment.
Strong working knowledge of Delaware and California corporate law and Secretary of State procedures.
Proficiency with corporate governance tools and entity management systems.
Experience with electronic document management and filing systems.
Excellent organizational skills and attention to detail.
Ability to work independently and manage multiple priorities in a remote setting.
